Terms and Conditions

1. Acceptance of Terms

By accessing and using the website bearded.digital and by engaging with Bearded Digital ("Company," "we," "us," "our") for services, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, you may not use our website or services. We reserve the right to modify these terms at any time, and your continued use of our services constitutes acceptance of the modified terms.

2. Description of Services

Bearded Digital provides managed church website design, WordPress hosting, maintenance, and support services. Services may include website design and redesign, managed WordPress hosting, security monitoring, daily backups, plugin and content management, SEO setup, and customer support. The specific services provided are determined by the plan selected and any signed service agreement.

3. Subscription and Billing

3.1 Term

Services are provided on a subscription basis. The initial term is 12 months. Following the initial 12-month term, the subscription automatically renews on a month-to-month basis unless either party provides written notice of cancellation at least 30 days before the renewal date.

3.2 Pricing

Current pricing is displayed on our website. We reserve the right to change pricing with 30 days' written notice. Price changes will not apply to active subscriptions until the next renewal date.

3.3 Payment

You agree to pay the fees associated with your selected plan. Payment is due at the start of each billing cycle and may be made via credit card or other payment methods we accept. All fees are exclusive of applicable taxes, which will be added to your invoice if applicable.

3.4 Failed Payments

If a payment fails, we will attempt to process the payment again. If payment fails after multiple attempts, your service may be suspended until payment is received.

3.5 No Refunds

Subscription fees are non-refundable except as required by law. If you cancel your subscription within the initial 12-month term, the remaining balance remains due.

4. Client Responsibilities

You are responsible for:

  • Providing accurate information and content for your website
  • Maintaining login credentials confidentiality
  • Providing timely feedback and approvals during the design and launch process
  • Complying with all applicable laws and regulations
  • Ensuring all content you provide does not infringe third-party rights

5. Acceptable Use Policy

You agree not to use our services to:

  • Violate any applicable laws or regulations
  • Infringe upon intellectual property rights of others
  • Upload malicious code, viruses, or malware
  • Engage in harassment, hate speech, or discrimination
  • Conduct unauthorized access to systems or data
  • Interfere with or disrupt the operation of our services

6. Intellectual Property

Your Content: You retain all rights to content you provide to us (text, images, documents). You grant us a license to use, display, and host this content as necessary to provide our services.

Our Content: Bearded Digital retains all rights to our website design, templates, code, methodologies, and proprietary processes. You may not copy, reproduce, or repurpose our proprietary materials without written permission.

7. Service Level Agreement (SLA)

We aim to maintain 99.9% uptime for hosted websites. The SLA applies to managed hosting services only, not third-party services or user-caused outages. Response time commitments vary by plan and are detailed in your service agreement. We are not liable for downtime caused by circumstances beyond our control (natural disasters, internet outages, etc.).

8. Support and Maintenance

Support is available as outlined in your plan. We provide ongoing maintenance including security updates, plugin updates, and daily backups. Content edits and customizations are included up to the amount specified in your plan. Additional requests beyond your plan may incur additional fees.

9. Termination

By Client: You may cancel your subscription with 30 days' written notice. If you cancel during the initial 12-month term, you remain responsible for remaining payments.

By Bearded Digital: We may terminate services if: (a) you violate this agreement, (b) payment is 30 days overdue, or (c) you engage in conduct that violates applicable laws. We will provide written notice and a reasonable opportunity to cure (except in cases of severe breach).

Upon Termination: We will provide you with data exports and allow a reasonable transition period. After 90 days of service termination, we may delete your data from our servers.

10. Disclaimers

OUR SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT OUR SERVICES WILL MEET YOUR REQUIREMENTS OR THAT THEY WILL BE UNINTERRUPTED OR ERROR-FREE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEARDED DIGITAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR USE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Bearded Digital from any claims, damages, or expenses (including attorney fees) arising from your use of our services, your content, or your violation of this agreement.

13. Governing Law and Jurisdiction

These Terms and Conditions are governed by the laws of the State of Missouri, without regard to conflicts of law principles. Any legal action or proceeding shall be brought exclusively in the state or federal courts located in Greene County, Missouri. You consent to the exclusive jurisdiction of these courts.

14. Dispute Resolution

Before initiating legal proceedings, we encourage you to contact us to resolve disputes informally. If informal resolution is unsuccessful, disputes will be resolved in the courts of Greene County, Missouri, as described in Section 13.

15. Entire Agreement

These Terms and Conditions, along with any signed service agreement or statement of work, constitute the entire agreement between you and Bearded Digital regarding our services. Any prior agreements, representations, or negotiations are superseded by this agreement.

16. Severability

If any portion of this agreement is found to be invalid or unenforceable, the remaining portions shall remain in full force and effect.

17. Changes to These Terms

We may update these Terms and Conditions at any time. Any material changes will be communicated to you via email or by posting the updated terms on our website. Your continued use of our services following the posting of changes constitutes your acceptance of the modified terms.
